1. Acceptance of Terms

By accessing or using our website or mobile application ("Platform"), or by enrolling as a vendor, user, or franchise partner, you agree to be bound by these Terms and Conditions and our Privacy Policy.

2. User Eligibility

You must be at least 18 years old or have legal capacity under applicable Indian law to use this Platform or become a vendor/franchise partner.

3. Account Registration

To access key services, you may be required to register:
- Provide accurate information.
- Keep your login credentials confidential.
- Accept responsibility for any activity under your account.

4. Vendor Participation

Vendors listing products/services on our Platform must:
- Provide quality, genuine, and deliverable products.
- Fulfill orders promptly.
- Disclose any applicable taxes (including GST if registered).
- Comply with Ujjwal Bhaarat’s guidelines, including product image, price, and description standards.

5. Specific GST Clause (Vendor Responsibility)

If a vendor's annual turnover exceeds the threshold limit prescribed under GST Act (currently ₹20 lakhs for services and ₹40 lakhs for goods), it is mandatory to obtain GST registration.
Vendors without GST registration may still operate on the Platform until they reach the limit, but must update Ujjwal Bhaarat once registration is obtained.
GST-registered vendors must issue invoices with their GSTIN and comply with all return filing requirements.
Ujjwal Bhaarat may offer transitional GST invoicing support temporarily, but vendors must regularize their compliance within 30 days of notification.

6. Franchise Onboarding Policy

Ujjwal Bhaarat offers franchise opportunities to individuals or businesses who wish to operate and manage hyperlocal services and product fulfillment.
Franchisees agree to:
- Pay the agreed initial franchise fee (if applicable).
- Maintain minimum operational and service standards set by Ujjwal Bhaarat.
- Represent the brand honestly in offline and online dealings.
- Promote local vendor onboarding, order delivery, customer support, and community engagement.
Commissions and incentives will be governed by separate agreements specific to each franchisee.
Breach of terms may result in suspension or termination of the franchise license.

7. Offline Sales Policy

Ujjwal Bhaarat supports hybrid commerce, allowing customers to place orders online and pick up or buy offline through authorized local franchise stores.
Franchisees and authorized vendors may take offline orders and record them via the app/portal.
All offline transactions must be reconciled in the system for tracking and commission purposes.
Customers receiving goods offline must receive proper invoices or receipts.
Ujjwal Bhaarat is not liable for any offline transactions conducted outside the authorized franchise or vendor system.

8. Order & Payment Terms

Orders are subject to availability and confirmation.
Prices shown may include/exclude GST depending on vendor type.
Payment modes include UPI, cards, wallets, COD (where applicable).
Platform reserves the right to cancel any order due to stock issues, technical errors, or policy breaches.

9. Shipping & Delivery

Delivery timelines vary by location, availability, and product type.
Risk of goods transfers upon delivery to the customer.

10. Returns, Refunds & Replacements

Return eligibility is product-specific.
Perishables (e.g., vegetables) may not be returnable unless damaged/expired upon delivery.
Refunds will be issued as per original payment mode, subject to return approval.

11. Referral & Commission Programs

Users and vendors may earn commission via referrals or onboarding.
Earnings can be withdrawn via the vendor/partner dashboard once the threshold is met.
Referral rules are subject to change and communicated via the official portal.

12. User Conduct

You agree not to:
- Use the Platform for unlawful activities.
- Post false, misleading, or abusive content.
- Infringe on intellectual property rights.

13. Platform Rights

We may suspend or terminate accounts for violations.
Modify or discontinue services at our discretion.
Enforce commission policies, vendor ranking, and listing visibility.

14. Intellectual Property

All Platform content and branding (logo, images, design) belong to Ujjwal Bhaarat or its licensors. Unauthorized use is prohibited.

15. Limitation of Liability

We are not liable for:
- Delays, losses, or damages caused by third parties.
- Misuse or fraudulent activity by vendors or customers.
- Interruptions or technical issues beyond our control.

16. Governing Law & Jurisdiction

These Terms are governed by Indian law.
Disputes shall be subject to the courts of Vasai, Maharashtra.

17. Amendments

These terms may be updated periodically. Continued use of the Platform implies your acceptance of changes.
